GENERAL TERMS AND CONDITIONS OF SALE

1. All our sales, works, deliveries and services are subject to the following conditions;

any other conditions of the customer are not accepted.

 2. Our offers are made without any commitment as to the delivery and execution dates, which are always approximate.

3. Our invoices are always to be paid in cash at our place or residence, net, without discount.

Any invoice that remains unpaid on the determined due date shall, ipso jure and without notice of default, be increased with an interest rate of 12% per year until payment has been paid in full.

In case of non-payment of an invoice on the due date, due to negligence and without serious reasons, the amount shall, after notice of default, be automatically increased by 12% with a minimum of € 50 and a maximum of € 1490, as a conventional penalty clause and agreed compensation for administrative costs to the company without that payment being an obstacle by the possible application of article 1244 of the Civil Code, in favour of the debtor.

 4. All collection and legal costs of an accepted or unaccepted bill of exchange shall be borne by the customer. The offering of bills of exchange does not change the location of payment; moreover, when drawing a bill of exchange, we do not waive any of the above rights and the drawing of a bill of exchange never constitutes a novation of debt.

5. Any complaints must be sent in writing and within eight days to our place of residence with a clear description of the defects, something that will enable us to take full notice of the matter, without aforementioned a complaint will not be accepted.

6. All disputes fall exclusively under the jurisdiction of the courts of our domicile, namely the Peace Court, the Commercial Court and the Court of First Instance of our district, depending on the case. This also applies when bills of exchange are drawn on the customer. Only by our decision it is possible to deviate from this jurisdiction clause.
